The contract will cover Drammen Municipality's need for follow-up of the municipality's owner positions in Å Energi AS and Vardar AS.

Vardar AS is an energy corporation that is organised in different subsidiary companies and associated companies. The municipalities in the previous Buskerud County took over ownership in Varder AS from the previous Buskerud County with effect from 01.01.20. The company currently have 19 owner municipalities. The main office is in Drammen. Drammen Municipality is the largest owner with an ownership share of 26.08%.

Å Energi AS was established in autumn 2022 as a result of a fusion between Glitre Energi AS and Agder Energi. The company is Norway's largest energy corporation with activity in the entire value chain - energy production, energy network, electricity market. Å Energi is owned by Statkraft, Vardar AS and 26 municipalities. Statkraft is the largest owner in the company (33.30 percent). Drammen Municipality is the next largest owner with an ownership share of 13.66 percent, valued in the fusion process to approx. NOK 7.7 billion. The other owners are 25 Agder municipalities, which together with Statkraft, were the previous owners in Agder Energi AS. Drammen Municipality is also the largest owner in Vardar. Drammen Municipality and Vardar (the Glitre owners) have a joint ownership share in the company of 26.85 percent, and are, in the system of agreements, secured the same rights as if they owned more than 1/3 of the shares in the company (negative control), cf. the Companies Act.

Drammen Municipality's values in Vardar AS and Å Energi AS are considerable. Å Energi was newly established based on a negotiated system of agreements in 2022: The shareholders agreement, articles of association, and a coordination agreement for exercising the municipal ownership. In addition it is assumed that Drammen Municipality and Vardar, as previous Glitre owners, coordinate their ownership. A separate agreement on this has been established between Drammen Municipality and Vardar. The formal structures for ownership follow-up and owner strategic work must be carried out.

The municipal ownership in Vardar AS is newly established (2020). The shareholders agreement was adopted in all the ownership municipalities in 2020. The work on a new ownership strategy for the company will soon commence. The owner municipalities have established an administrative chief officer group under the management of the chief officer in Drammen Municipality. The work group's task is to prepare the decision basis for processing in the owner municipalities. The work will be done in close cooperation with Vardar's administration.

Drammen Municipality is part of a comprehensive system of agreements in both Å Energi AS and in Vardar AS.

Based on this, Drammen Municipality needs continual assistance with seeing to its ownership position in both companies. We can mention here:

- Be the municipality's advisor in owner strategic work and participate in actual processes if required.

- Assist with preparing the municipality's participation and position in formal bodies where the municipality's ownership is practised:

- General assemblies

- Owner meetings

- Meetings in the working committee in Å Energi

The work requires close cooperation with the chief officer and the municipality's ownership management milieu. The mayor and central politicians participate in formal bodies. The work will also involve support for their participation. This will be done in close cooperation with the chief officer. This will particularly concern processes in Å Energi AS, in which a comprehensive cooperation agreement has been established between the municipal owners that requires regular participation from Drammen Municipality. Amongst other things, a working committee has been established, in which Drammen Municipality will permanently participate, and which is also the company's election committee.

There can be a need in the contract period to order concrete review assignments/individual assignments including reports. A fixed price will be given for such assignments, and the price will be based on the hourly rate as stated in this framework agreement.

Tenderers must be registered in a company register or trade register in the member state where the tenderer is established. As described in annex XI of directive 2014/24/EU; tenderers from certain member countries can be required to fulfil other requirements in the mentioned annex.

Økonomisk og finansiell stilling:

Tenderers must have sufficient economic and financial capacity to fulfil the contract. This is complied with by the tenderer being credit worthy without requirement for guarantee, with a minimum credit score of A in accordance with an assessment made in CreditPro by the credit information agency Bisnode AS.

DOCUMENTATION REQUIREMENT: The contracting authority will obtain a credit report from Bisnode CreditPro. The report must include, amongst other things, the auditor's report, negative payment remarks, accounts, the last known accounting figures, and credit history. For companies that have not been assessed for credit in Bisnode CreditPro (this applies to foundations etc.), approved accounting figures must show corresponding creditworthiness and economic implementation ability. Any other document that the contracting authority deems suitable.

Teknisk og faglig kapasitet:

Tenderers must have experience from comparable assignments. A description must be given of up to three of the most relevant assignments, with their content and value. A reference person must be given, with the company, name, and telephone number, The contracting authority reserves the right, if required, to contact the reference persons for information on the content of the reference assignment.
