Drammen kommune

Drammen kommune [Drammen municipality] is established as a new municipality since 1 January 2020 after merging with Svelvik, Nedre Eiker and the previous Drammen kommune [Drammen municipality]. Drammen municipality aims to be an active owner. Since 1 January 2020 the municipality has many owner positions, total scope of around 35. Of these, 20 are public limited companies (AS), seven are inter-municipal companies (IKS), three are municipal companies (KF).
As a new municipality and new owner, the municipality needs to define objectives and strategies for each individual company that the municipality has ownership interest in. Drammen municipality wants to connect with external assistance to implement owner strategic review work. The goal of the assistance is to get external environments to review the companies 'activities and map the owners' intentions and objectives of their ownership.
Owner strategic work will occur ongoing and stretch over several years. It has been decided that initially owner strategic work will be implemented for:
Drammensregionens Brannvesen IKS [The Drammen Region Fire Brigade]
Drammen Kommune Eiendomsutvikling AS [Drammen Municipality Property Development]
Vardar AS
Drammensbadet KF [Drammen Pool]
Hermansenteret KF [the Herman Centre].

In its ownership policy, the municipality proposes active use of corporate ownership strategies. The ownership strategies form the basis for active follow-up of the large values in the different companies. Owner strategies will form the platform for a good management dialogue and give goals and a clear direction of what the owners want with the various companies. Where there are multiple owners, the owners will clarify the process and the framework for the review work.

Owner strategies will be adopted by the county councils in the owner municipalities and this must be taken into consideration in the design.
The county council has recently adopted Drammen municipality's owner policy. The owner policy is a tool for the county council to exercise targeted, predictable and long-term owner management in Drammen municipality. The owner policy will contribute to good political management and control as well as give the framework for how the municipality will exercise their ownership. The expectations expressed in the municipality's owner policy apply for all companies that the municipality has ownership interest in, regardless of whether it is a municipal company or companies that Drammen municipality owner alone or in partnership. The owner policy further lays down the framework for the Chief Municipal Executive's follow-up of the companies.

In it's ownership policy, the municipality proposed active use of corporate ownership strategies as an important tool. The ownership strategies form the basis for active follow-up of the large values in the different companies. Owner strategies will form the platform for a good management dialogue and give goals and a clear direction of what the owners want with the various companies. Ownership strategies can regulate conditions such as communication with the company, information needs, anticipated return, dividend expectations, strategic direction and core activities, goals, dispute resolutions between owners etc. Owner strategies are individual and tailored to the individual company and aim to be robust and have validity over time. Nevertheless, regular revisions are planned based on i.a. changed framework terms, new adopted guidelines etc. All owner strategies will be rooted in and dealt with by the Municipal Executive Board as an ownership committee and adopted by the municipal council.

Owner strategies for companies with multiple owners must be undertaken by all of the owners. In companies where multiple municipalities are owners, this involves cooperation between the municipalities in the review work and decisions in all of the municipal councils. This will be particularly relevant for inter-municipal companies (IKS).

In each individual process, the assignment is assumed to end up with a report that provides proposals for updated owner strategy for relevant companies. A more detailed progress plan for the work will be clarified with the selected tenderer.
Parallel framework agreements will be entered into with three tenderer, assuming that there are a sufficient number of suitable tender offers. Call-off of resources will be individual assignments for the implementation of a specific owner-strategic process.

When awarding assignments, the contracting authority will implement mini competitions based on one or more of the following criteria:
— competence of offered personnel for specific assignments
— delivery capacity/time
— fixed price.
If the contracting authority finds it appropriate to ask for a fixed price for the assignment, hourly price given in this tender competition must be considered to be the maximum price when preparing the fixed price. In the mini competitions, the tenderer can offer a fixed price based on a lower hourly price than that entered into in this tender competition.

The contracting authority retains the right to announce assignments over NOK 500 000 excluding VAT if the contracting authority believes this to be suitable. The contracting authority retains the right to consult tenderer outside of the framework agreements for assignments that require professional competence beyond that which is the basis for the framework agreement, of if the selected tenderer do not have capacity.
