Framework agreement financing vessels

Nordland Fylkeskommune

The County Council in Nordland has approved to test an amended tender form for the procurement of transport services at sea, the so-called ‘split gross tender’, cf. case 019/14 in the attached qualification documents. This means that Nordland county (NFK) divides the procurement of the transport services into 3 parts, with the procurement of vessels, the financing of vessels and the operation of vessels are procured in separate competition.
The aim of this procurement is to establish a framework agreement with a service provider for the ownership and financing of vessels with a limit of up to 800 000 000 NOK. Vessels will, on a date decided by NFK, be acquired by the chosen service provider who is to obtain financing. NFK will then use the actual vessels based on long term hire contracts with the right to continued hire for operational tenders for scheduled traffic in the county ( so-called ‘sale and leaseback’ transaction). At the end of the hire period, the vessels can be transferred free of charge to NFK. See the attached qualification documents for further information on the procurement and the attached framework agreement for further information on the contract terms.

1. The service provider shall be a legally established company — documented by a company registration certificate or equivalent documentation that shows that the service provider is registered in a trade register in his home country.
2. The service provider shall have good professional conduct — a self-declaration on conduct, annex 4 shall be enclosed.

Økonomisk og finansiell stilling:
The service provider, possibly by using other suppliers' resources via a binding statement, shall have sufficient financial solidity to offer financing with a limit of up to 800 000 000 NOK.
Documentation:
— annual report, auditor confirmed annual accounts and an overview of the turnover for the last available accounting year for the service provider.
— A statement of the company's turnover within the area covered by the contract in the last accounting year, to the degree that information on such turnover is available.
— credit rating with key figures, not older than 12 months from a certified credit rating company.
If a service provider has valid reasons as to why they cannot provide documentation requested by NFK on the economic and financial position, he can prove his economic and financial position with other documentation that NFK deems suitable, such as a detailed description of how the financing shall be offered/obtained. See further information in the qualification documents point 6.

Teknisk og faglig kapasitet:
The service provider shall have experience with financing working capital as described in chapter 5, including ownership and administration of vessels/working capital. The requirement can be fulfilled by a binding statement that documents that the company with such experience shall assist the service provider in solving these assignments.

Begrunnelse for rammeavtaler med varighet over fire år:
The contract object, financing vessels, requires perpetuity in order to ensure satisfactory terms and relevant tenderers. The financing limit requires investments with a repayment period considerably longer than 4 years, but also the vessel's lifetime and a sensible division of risk between the parties requires a longer contract.
