The establishment and administration of the securities funds and the active administration of these were contracted to an external joint venture partner (Danske Capital) in order to be in accordance with concession acts for active administration and funds management. The agreement with Danske Capital was entered into in 2009 and the securities funds were in operation from 7.12.2010.
The Foundations’ assets are administered in the securities' funds UNIFOR Aksje and UNIFOR Rente, in addition to three private equity investments and two property investments not included in the securities ‘funds.
These are, except for one of the property investments, closed-ended funds or funds comparable structures. Further investments within private equity funds (PE) and property investments will not be carried out but for two of the PE funds, committed capital has not entirely been paid. The selected service provider shall manage and include the return on these investments in the reports.
The UNIFOR funds UNIFOR Aksje and UNIFOR Rente are funds in funds and invests the assets in subfunds in accordance with UNIFOR’s investment strategy and is executed by publication of a reference index (foundation index) for the UNIFOR funds.

UNIFOR’s investment strategy, which the foundations have agreed to comply with, a strategic division between the stocks and interests indicates 50/50. The division between Norwegian and foreign investments also indicates 50/50 (model portfolio).
Only a few of the foundations have chosen a different division than 50/50. The strategic division of 50/50 provides a long-term expected annual return of 6 %. In order to ensure stable and predictable annual dividends, the foundations have decided to follow UNIFOR’s dividends rules which are based on calculations of dividends on average capital for the previous 10 years. The tender documents include the by-laws for UNIFOR AKSJE and UNIFOR Rente.
Each foundation with means invested in the UNIFOR funds have entered into a standard active administration agreement with investment authorisation and an agreement with UNIFOR regarding delivery of administrative services in connection with administration and other related services. UNIFOR function as administrator with authorisations from the foundations towards the trust company. The investment authorisation indicates the division between stocks and interests, including minimum and maximum frames, decided by each foundation. Each foundation’s share in the securities' fund is registered in a unit holder register at the Norwegian CSD.
Monthly reports for each foundation’s reserves, activity and return, as well as the model portfolio’s reserves, activity and return. All communication between the trust company and the foundations is to go through UNIFOR and all communication shall be electronically. Standardization of agreements, communication, reports, etc. are to be expected.
Additional resources must be added in connection with further development of the administration concept. This shall not result in increased additional costs for UNIFOR or the foundations.
The selected trust company must be a (Public) Limited Liability company with authorisation to conduct securities' fund administration in accordance with the Act on securities funds’ §2-1 from 25.11.2011, no. 44 and with authorisation to conduct active administration of the investors’ portfolio of financial instruments on individual basis and in accordance with authorisation given by the investor. Compare the Act on securities funds § 2-1, first paragraph no. 4.
It is expected that the selected provider of the administration services shall continue/take over the management of the securities' fund UNIFOR Aksje and UNIFOR Rent.
